Terms of Service

1. Authorized Use

Matrix Gateway is a technical service operated by Matrix Clouds Software Solutions for authorized business clients only.

The service is intended to help approved clients connect their WhatsApp Business integrations with Matrix Gateway and related business systems. It is not a public consumer-facing application and may not be used by unauthorized individuals, organizations, or third parties.

By using Matrix Gateway, you confirm that you are authorized to act on behalf of the business account, WhatsApp Business Account, phone number, or integration you connect to the service.

2. Client Responsibilities

Clients are responsible for their use of Matrix Gateway and for all activity carried out through their connected accounts, users, WhatsApp Business Accounts, phone numbers, and integrations.

Clients must ensure that all information provided to Matrix Gateway is accurate, current, and authorized, including business information, phone numbers, user accounts, and connection details.

Clients are responsible for maintaining the confidentiality of their portal login credentials and for ensuring that only authorized personnel access or manage their Matrix Gateway account.

3. Compliance with Meta and WhatsApp Policies

Clients must use Matrix Gateway in compliance with all applicable Meta, WhatsApp, business messaging, privacy, data protection, and communication policies.

Clients are responsible for ensuring that their WhatsApp Business Account, message templates, phone numbers, message content, and recipient communications comply with Meta and WhatsApp requirements.

Matrix Clouds may suspend, restrict, or disable access to Matrix Gateway if a client uses the service in a way that violates Meta or WhatsApp policies, applicable law, or these Terms of Service.

4. Liability for Policy Violations and Indemnification

Clients are solely responsible for any use of Matrix Gateway that violates Meta, WhatsApp, applicable messaging policies, applicable laws, or these Terms of Service.

If Matrix Clouds, Matrix Gateway, its systems, accounts, business assets, reputation, access privileges, Meta or WhatsApp permissions, phone numbers, infrastructure, or operations suffer any loss, restriction, suspension, penalty, claim, damage, cost, or liability as a result of a client’s misuse of the service or violation of Meta or WhatsApp policies, the client shall be responsible for such consequences.

The client agrees to indemnify, defend, and hold Matrix Clouds Software Solutions harmless from and against any claims, losses, damages, liabilities, penalties, costs, and expenses, including reasonable legal fees, arising from or related to the client’s violation of Meta or WhatsApp policies, unlawful messaging activity, unauthorized communications, misuse of Matrix Gateway, or breach of these Terms of Service.

5. Messaging Consent

Clients are solely responsible for ensuring that they have obtained all required consents, permissions, opt-ins, or other lawful bases before sending or initiating any WhatsApp messages through Matrix Gateway.

Clients must not use Matrix Gateway to send spam, unsolicited messages, misleading communications, unauthorized promotional content, or any messages to recipients who have not agreed to receive such communications where consent is required.

Clients are also responsible for honoring opt-out, unsubscribe, blocking, or similar recipient requests in accordance with applicable laws, Meta policies, WhatsApp policies, and accepted business messaging practices.

6. Templates and Message Content

Clients are responsible for all message content, templates, media, links, and communications sent or managed through Matrix Gateway.

Clients must ensure that all WhatsApp message templates are accurate, lawful, approved where required, and compliant with Meta and WhatsApp policies.

Clients must not use Matrix Gateway to send or facilitate content that is fraudulent, deceptive, abusive, harmful, illegal, misleading, discriminatory, infringing, or otherwise prohibited by Meta, WhatsApp, applicable laws, or these Terms of Service.

Matrix Clouds does not assume responsibility for the accuracy, legality, approval status, or policy compliance of client-provided message content or templates.

7. Account and Access Security

Clients are responsible for maintaining the security and confidentiality of their Matrix Gateway portal accounts, usernames, passwords, connected business accounts, and any authorized access granted to their personnel.

Clients must ensure that only authorized users access or manage their Matrix Gateway account, WhatsApp Business integrations, phone numbers, or related settings.

Clients must promptly notify Matrix Clouds if they become aware of any unauthorized access, suspected credential compromise, misuse of the service, or security incident related to their Matrix Gateway account.

Matrix Clouds is not responsible for losses, interruptions, unauthorized actions, or damages resulting from a client’s failure to protect its account credentials, internal users, devices, or access permissions.

8. Service Limitations

Matrix Gateway is a technical gateway service that depends on third-party platforms, including Meta WhatsApp Cloud API, hosting providers, network infrastructure, and connected business systems.

Matrix Clouds does not guarantee that the service will be uninterrupted, error-free, or continuously available at all times.

Service availability may be affected by Meta or WhatsApp platform changes, account restrictions, API outages, webhook delays, internet connectivity issues, configuration errors, client account status, or other factors outside Matrix Clouds’ direct control.

Matrix Clouds may perform maintenance, updates, security improvements, or operational changes when necessary to maintain or improve the service.

9. Disclaimer for Service Suspension or Unavailability

Matrix Clouds shall not be liable for any direct, indirect, incidental, consequential, financial, commercial, reputational, operational, or other damages suffered by the client or any third party as a result of service suspension, interruption, delay, failure, restriction, or unavailability.

This includes, without limitation, any suspension or interruption caused by non-payment of invoices, delayed payment, expired subscriptions, exhausted usage limits, client account issues, Meta or WhatsApp restrictions, third-party platform outages, hosting or network failures, API changes, force majeure events, configuration errors, or any other cause outside the reasonable control of Matrix Clouds.

The client acknowledges that Matrix Gateway depends on third-party platforms and external infrastructure, and that service availability may be affected by factors beyond Matrix Clouds’ direct control.

Matrix Clouds may suspend or restrict access to Matrix Gateway if invoices remain unpaid, subscriptions expire, required fees are not settled, or the client fails to meet applicable commercial, technical, or compliance requirements.

The client remains solely responsible for maintaining active subscriptions, paying all due invoices on time, keeping connected accounts in good standing, and ensuring that its use of the service complies with all applicable requirements.

10. Suspension and Termination

Matrix Clouds may suspend, restrict, disable, or terminate a client’s access to Matrix Gateway, in whole or in part, if the client violates these Terms of Service, applicable laws, Meta or WhatsApp policies, payment obligations, security requirements, or any applicable commercial or technical requirements.

Matrix Clouds may also suspend or disable access where continued use of the service may expose Matrix Clouds, Matrix Gateway, Meta assets, WhatsApp accounts, connected phone numbers, infrastructure, users, or third parties to legal, security, operational, reputational, financial, or compliance risk.

Upon suspension or termination, the client may lose access to the portal, connected numbers, message routing, integrations, and related service functions. Suspension or termination does not waive any outstanding payment obligations, liabilities, or responsibilities arising before the suspension or termination date.

11. Data and Privacy

The collection, processing, storage, and use of data through Matrix Gateway are governed by the Matrix Gateway Privacy Policy.

Clients acknowledge that Matrix Gateway may process business account information, WhatsApp connection data, phone number information, message metadata, delivery status events, technical logs, and other operational data required to provide the service.

Clients are responsible for ensuring that they have the legal right, authority, consent, or other lawful basis required to provide or process any data, phone numbers, messages, templates, contacts, or communications through Matrix Gateway.

Clients must not submit, transmit, or process any data through Matrix Gateway in a manner that violates applicable privacy laws, data protection requirements, Meta policies, WhatsApp policies, or these Terms of Service.

12. Changes to These Terms

Matrix Clouds may update these Terms of Service from time to time to reflect changes in the service, applicable laws, security requirements, operational practices, commercial terms, or Meta and WhatsApp platform requirements.

Any updated version of these Terms will be published on this page with a revised effective date.

Continued use of Matrix Gateway after the updated Terms are published means that the client accepts the updated Terms.
